Background

The City of Brentwood, through property management company Cushman & Wakefield, Inc, receives janitorial service from ProImage Facility Services, LLC, at City Hall, the Service Center, and the John P. Holt Public Library. It was expected that the new Police Headquarters (PDHQ) facility would be added to the list of properties managed by Cushman, though staff has been unable to do so due to unacceptable liability language in the contract proposed by the legal team at Cushman. The City and Cushman unfortunately reached an impasse during contract negotiations.

The alternative to Cushman's management of this property is for the City to manage it directly, as is done with sites such as Fire Station 2, Safety Center East, and Ravenswood Mansion. It would not be practical to have a second building management company manage this site alone. Given this, the attached agreement with ProImage is presented for your consideration to provide janitorial services at PDHQ. The proposal is unchanged from what was previously agreed to when it was assumed they would contract directly with Cushman. The City Manager recommends waiver of competitive selection as it is not practical or desirable to have multiple janitorial companies servicing City facilities, and all background screening and orientation with ProImage has already been completed.

The initial term is one (1) year, with automatic renewals unless either party provides a sixty (60) day notice prior to the end of the expiring term. The agreement will cover services provided as of June 1, 2021.
