Background

In June 2015, the City entered into an agreement with CareHere HealthSigns to offer physical assessments for public safety personnel for a one-year period after being notified by the previous provider, Lifesigns, that the clinic planned to cease its operations. The agreement allowed for automatic annual renewals subject to cost adjustments. CareHere continued to offer assessments for public safety personnel under this agreement until October 2021, when the acquisition of CareHere by Premise Health took place.

With the acquisition of CareHere, LLC by Premise Health, the clinic contract for the provision of general employee clinic services between CareHere LLC and the City of Brentwood continued unchanged except for an amendment signed in November 2021, addressing two items: contract references to the location of the clinic from 5141 Virginia Way, Suite 360 to 5410 Maryland Way, Suite 100 and the cost calculation methodology used by Premise Health.

However, because the agreement for public safety care was separate from the agreement for group medical clinic services, staff worked with Premise representatives to develop the attached updated Master Service Agreement. This agreement covers pre-employment and annual public safety physicals for the next five years, with the option to extend for three additional one-year terms. However, the agreement allows either party to terminate the agreement for any reason with 120 days written notice to the other party.

Staff Recommendation

Staff recommends approval of the attached resolution authorizing the agreement with Premise.

Previous Commission Action

The original contract with CareHere LLC for general employee clinic services was approved via Resolution 2012-52 on July 9, 2012.

The original contract with CareHere LLC for public safety employee physicals was approved via Resolution 2015-36 on June 8, 2015.

Fiscal Impact:

The cost of these services varies annually based on the number of annual physicals needed, number of sworn police and fire new hires, etc. Sufficient annual funding is provided for in the HR Department budget.
