Background
As the planning for the new Police Headquarters project began in 2017, staff recognized the opportunity to work cooperatively with Williamson County to include a location for a new EMS station on the headquarters property.  As the facility and site planning for this project progressed, the construction of a joint use Annex building on the rear portion of the property was identified as the best solution (see attached site plan).  This joint use Annex building will house the EMS station and provide for PD storage needs.

The attached agreement establishes the terms and conditions related to the County's operations on this site.  The agreement calls for the County to pay the City $1.25 million, which is the contractor's estimated cost of construction for the EMS portion of the Annex building. Fifty percent of this amount ($625,000) will be up front upon initiation of construction work on the Annex building and fifty percent will be paid upon completion and acceptance of the space by the County. The County will be directly responsible for the costs associated with furnishing the EMS station, including applicable technology components specific to the EMS operations.

The agreement provides that the City retains ownership of the Annex building, with the County having guaranteed use rights for a minimum of 20 years.  After the initial 20-year term, the agreement will continue unless terminated by either party in accordance with the termination provisions of the agreement.

As building owner, the City shall be responsible for maintenance and repair of the structural and mechanical components of the Annex building, except if due to negligence by the County.  The County shall pay its monthly proportionate share of all utility costs that are provided through a shared meter based on the pro rata share of each party's occupied square footage of the metered area.

Staff believes this proposed agreement fairly allocates the costs associated with construction and operation of the proposed EMS facility on the site of the new Police HQ project and is consistent with our other agreements providing space for County EMS units in City facilities (City Hall and Safety Center East).  Furthermore, staff believes this agreement represents a significant benefit to the Brentwood community through the County's willingness to locate a new 24/7 EMS unit stationed in Brentwood, especially when considering the significant additional costs to be incurred by the County beyond this initial capital construction cost for the purchase of an ambulance and all associated equipment and staffing.

Staff recommends approval of Resolution 2019-108.
